Membership Agreement

Please read these terms and conditions carefully before using our services.


This Agreement is entered into by A20 Connect Inc., doing business as Accountants 2.0, a Delaware Corporation ("Accountants 2.0"), located at 1420 Washington Blvd, Suite 301, Detroit, Michigan 48226. By joining the Accountants 2.0 Network (the "Network"), you agree to the following terms.


1. Membership Overview

a. Network Membership:

-Membership enrollment is completed through our online checkout process, which includes access to this agreement for review.

-Membership fees vary based on the selected plan and are payable upon checkout.

b. Legal Review:

-Members are encouraged to seek independent legal counsel before agreeing to these Terms of Service.

c. Name Flexibility:

-The Network name is subject to change at the discretion of Accountants 2.0.

2. Referral Service

a. Referral Process:

-Members will receive summarized profiles of prospective clients.

-Acceptance of referrals is on a first-come, first-served basis, subject to suitability and Accountants 2.0’s discretion in determining the best match when multiple members accept at approximately the same time.

b. Initial Fees:

-Upon referral acceptance, a non-refundable fee of $200 will be charged to the member's credit card on file.

-Full referral details will be provided upon receipt of this fee.

c. Success Fee:

-A 10% referral fee based on the total annualized agreement value is due for any resulting sale, inclusive of all expected agreements within the 1 year period. The initial $200 will be credited toward this fee, with a minimum charge of $200.

d. No-Show Policy:

-If a member fails to attend a scheduled meeting with a referred prospective client, no refund will be issued. Accountants 2.0 reserves the right to reassign the referral to another member.

3. Confidential Information and Non-Circumvention

a. Confidential Information:

-Members acknowledge that by participating in the Network, they may receive proprietary and confidential information ("Confidential Information"). This includes, but is not limited to, pricing, business strategies, referral methodologies, other non-public business practices, and other information that could be deemed as sensitive in nature and harmful if not protected, or if misused.

-Confidential Information does not include information that:

i)Was lawfully known before disclosure.

ii)Becomes public without breach.

iii)Is independently developed without reliance on disclosed information.

iv)Is disclosed by a third party with no confidentiality obligation.

b. Non-Circumvention:

-Members agree not to circumvent Accountants 2.0’s resources, including but not limited to proprietary referral methods and staff. Circumvention that interferes with Accountants 2.0’s ability to realize profit or fees is prohibited without explicit, written permission.

4. Referral Engagement Terms

a. Non-Solicitation of New Referrals:

-Once a client is referred to a member, that client becomes the member’s client.

-Accountants 2.0 will not solicit new referrals who become clients of the member, for services explicitly listed by the client and already engaged with the member unless:

i)The services fall outside the scope of existing agreements.

ii)The client explicitly authorizes Accountants 2.0 to provide additional services.

iii)The member is not an active member with dues paid in full.

b. Member Obligations:

-Members must notify Accountants 2.0 of finalized agreements and provide copies for compliance purposes.

-Members agree to maintain professionalism and timely communication with referred clients and Accountants 2.0.

-Members must keep their dues and contact information up to date.

5. General Provisions

a. Standard Terms and Conditions:

-This agreement incorporates the Accountants 2.0 Standard Terms and Conditions, which include details on late fees, dispute resolution, and other relevant policies.

b. Limitations of Liability:

-Accountants 2.0 and members within the Network are not liable for any direct, indirect, incidental, or consequential damages arising from member-client relationships or Network participation.

c. Governing Law:

-This agreement is governed by the laws of the State of Michigan, and any disputes shall be resolved in Wayne County, Michigan.

6. Termination

The Company reserves the right to terminate access to the Site for misuse, violation of these terms, or failure to comply with payment obligations.

7. Dispute Resolution

All disputes will be resolved through binding arbitration as outlined in our standard terms and conditions, located at accountants20.com/terms-and-conditions.

8. Changes to Terms and Conditions

Accountants 2.0 reserves the right to modify these Terms of Service at any time. Substantial changes will be communicated to members via email or other appropriate means. Continued participation in the Network constitutes acceptance of the updated terms.

9. Acknowledgment and Acceptance

By enrolling in the Network and accepting referrals, you acknowledge and agree to the terms outlined in this Agreement.
